  • 1. Who are we?

    Kamay Ventures was established in 2019 as the first corporate venture capital fund in the Southern Cone, aimed at promoting innovation in solutions that contribute to the digitization of various stages of the production process. The initial investors were Coca-Cola Latin America and Grupo Arcor, who were later joined by Grupo Bimbo (hereinafter collectively referred to as the “LPs”).   • 2. What is Kamay Code?

    Kamay Code is the generic name for events organized by Kamay Ventures to foster collaborative engagement among professionals and key players in its ecosystem, including officials, suppliers, strategic partners, and decision-makers from Kamay Ventures' investors.

    Each Kamay Code event aims to:

    Be a catalyst for improvements and ideas that could be supported or incubated for implementation, eventually put into production, to contribute to the transformation of the LPs' production processes and other related actors in Latin America.

    Allow the community to engage with the LPs' challenges firsthand, with the possibility of iterating the participants' value propositions in real-time.

    Create a space for companies and startups with solutions to the challenges presented in each event to interact with experts in the beverages and food sector.

    Promote teamwork to carry out a common project.

  • 3. How Do I Register for a Kamay Code Event?

    To register for a Kamay Code event, you must complete the required data and information in the registration form corresponding to that event (hereinafter the “Registration Form”).

  • 4. What are the Terms and Conditions?

    The Terms and Conditions of the Kamay Code program are set forth in these General Terms and Conditions (the “General Terms and Conditions”), which will be supplemented and interpreted in conjunction with the specific terms and conditions set for each Kamay Code Event (the “Specific Terms and Conditions”). The term “Terms and Conditions” shall refer jointly to the Specific Terms and Conditions of each Kamay Code event and the General Terms and Conditions. In case of any doubt or interpretive conflict, the provisions of the Specific Terms and Conditions shall prevail and modify the relevant provisions of the General Terms and Conditions.

    For the purposes of these General Terms and Conditions, we will generically refer to “Event” and “Workshop” in reference to the events and workshops organized within the Kamay Code program and specified in the Specific Terms and Conditions for each case.

    Capitalized terms not otherwise defined in these General Terms and Conditions shall have the meanings assigned to them in the Registration Form and the corresponding Specific Terms and Conditions.

  • 5. Who Can Participate?

    Individuals over the age of eighteen (18) who have companies from the host city of the event or from abroad, with the ability to add value or solve one or more of the challenges posed in each event (each, a “Participant”) may register.

    The following are not eligible to participate in Kamay Code:

    Individuals or legal entities that do not submit the documents requested in the Registration Form, provide incomplete information, or falsify submitted data.

    Individuals who directly or through a legal entity participate as mentors or are Jury members, or are relatives of these up to the second degree of consanguinity or affinity.

    The employees of the LP companies; if any of these were to participate, their involvement will be limited to acting as mentors and advisory specialists accompanying the Participants.

    Participants must adhere to the following rules of conduct during each Event, Workshop and any activity related to Kamay Code:

    Admission will only be allowed to registered and accredited Participants.

    It is essential to present an identity document (for individuals, by presenting an identity card and for legal entities by presenting a document accrediting the representation of the legal entity or their connection to it).

    Participants will have access to free internet. To connect and perform necessary tasks, access the internet, and/or digital tools, Participants must have their own equipment (mobile phones, laptops, tablets, etc.). The Organizers will not provide any equipment to the Participants.

    The Organizers will not be responsible for the loss or theft of any element or device of the Participants within the facilities where each Event and/or Workshop takes place.

    Participants must help maintain order and cleanliness of the Event and/or Workshop facilities.

    The Organizers reserve the right to expel from the Event and/or Workshop any Participants who do not comply with the aforementioned rules of conduct.

    The Organizers may prohibit participation in the Event and Workshop to persons and teams who attempt to undermine the legitimate operation through cheating, fraud, deceit, or any other unfair practice intended to illegitimately win, bother, insult, threaten, or harass other Participants, without prejudice to the right to claim damages caused as a result of such behavior.

    If the Organizers have reason to suspect that a Participant or team has acted deceptively or fraudulently (including the registration of a Project that does not belong to those presenting it, among others), the Organizers shall have the right to expel the Participant or team they consider responsible for such activity or potentially linked to it.

  • 6. How to Submit Projects?

    To participate in each Event, projects must be registered on the website http://www.kamaycode.com (the “Website”) by completing the corresponding Registration Form of the event and being selected by the Organizers (the “Projects”).

    Those registering on the Website must specify all the elements requested by the Registration Form and answer additional questions and queries about the Projects that may arise during the selection process.

    The Organizers may, at their sole discretion, reject Projects they consider contrary to law or good customs, that contain discriminatory content, or in any way generate potential risks for the LPs, the Participants, or third parties.

    The intellectual property that may be gained through participation in Kamay Code shall belong to the Participants. In this regard, the responsibility to register and manage potential intellectual property rights over the Projects lies exclusively with the Participants.

    Likewise, Participants declare that they undertake to hold the Organizers, as well as related companies, officials, directors, successors, administrators, representatives, and employees of the Organizers, harmless from any liability that may arise from the infringement of third-party rights who have or claim to have, rights of any nature, over the ideas submitted within the Kamay Code program.

    Participants are solely responsible for the material sent to the Organizers and the authenticity of the information provided when entering the competition, and in this regard, release the Organizers from any direct or indirect, foreseen or unforeseen liability for any type of damages, whether actual damages, loss of profit, or moral damage, among others, derived from the material they submitted.

    Participants must be available throughout the duration of the Event and, if selected, the Workshop, to respond to any queries or requests from Jury members or their designees.

  • 7. How Will Projects Be Selected?

    All Projects, regardless of the stage they are in, must be able to add value, address or solve in part or completely the challenges in the areas specified in the Specific Terms and Conditions of each Event.

    The following criteria will be evaluated in the selection of Projects:

    The magnitude of the market opportunity in the sector in which it is developed.

    The potential scalability at the regional level.

    The differentiation of the current proposal with existing competitors.

    The strength of the team in terms of experience and interdisciplinarity.

    The ease and/or compatibility to leverage the project by the LPs.

    A Project will be prioritized over another if:

    It contributes to circular consumption ecosystems.

    It can help develop capacities in groups or sectors with unequal opportunities.

    It can have a positive impact on the care and preservation of the environment.

    It aligns with the vision and mission objectives of the participating LPs.

  • 8. How Will the Jury Operate?

    The jury of each Event (the “Jury”) will be composed of a group of individuals appointed by the Organizers, at their sole discretion, with recognized experience in the development and/or evaluation of start-up companies. It may be composed of LP members and/or academics or members of the entrepreneurial ecosystem with experience in the field.

    The Jury will be present during the Event to (i) evaluate the Projects, (ii) listen to the Participants' presentations, (iii) conduct a general review of the submitted Projects, (iv) discard any Project that does not comply with the Terms and Conditions, if applicable, and (v) select the Projects that, in its discretion, stand out in one or more categories of the challenges posed for each Event.

    The Jury's decision will be announced at the end of the Event and shall be final and unappealable for the Participants.

  • 9. What Are the Criteria for Selecting Winners?

    The evaluation criteria will generally involve the following:

    Presentation

    Benefit provided to the verticals of interest

    Patterns found in the data

    Level of innovation or creativity of the Project

    Level of feasibility / complexity

    Functionality, ease of use

    Interface design, visual impact / user experience

    Originality

    For the purposes of carrying out their duties, the Jury may rely on reports from specialists and/or mentors who, in addition to the overall assessment of the Project, will evaluate the following aspects:

    Originality and innovative nature of the submitted Project

    Methodological rigor and technical solidity of the Project

    Viability of the Project and implementation potential, including if the start-up company offers alternatives that make its growth possible over time

    Personal background and balance of the team presenting the Project

    Purpose for which the Project funds will be used

    Commitment of each team member to the Project

    Relevance: if the development responds to one or more of the challenges set forth for each Event.

    Public good: it the proposal has social value beyond its potential market value

    Once the evaluation process of these terms and conditions is completed, the Jury will announce the selected Projects.

  • 10. What Do the Projects Selected Receive?

    The Organizers will grant the Participants whose Projects have been selected by the Jury the opportunity to present the selected Project at the Workshop.

    The Jury reserves the right to leave some and/or all available spots for participating in the Workshop vacant.

    Selection of Projects by the Jury does not guarantee any form of affiliation with Kamay Ventures or the LPs, nor the implementation of the Project solutions by Kamay Ventures or the LPs.

    In the event that the LPs or Kamay Ventures are interested in implementing the presented Project solutions and/or initiating a proof-of-concept process, the necessary negotiations for such purposes will be conducted ad hoc, with the assistance of Kamay Ventures, without any kind of assurance or obligation of the LPs or the Participants that these shall be formalized or closed successfully.

  • 11. Force Majeure

    In the event of unforeseen circumstances or force majeure, the Organizers may modify, suspend, or terminate any Event or Workshop, in whole or in part, without the Participant having any right to claim.

  • 12. Authorization for the Use of Images and Personal Data

    Participants authorize the Organizers to use their images, taken during an Event, for the purpose of creating institutional material, presentations, social media publications, website publications, etc. This authorization will be free of charge, with the Participant waiving any right to claim.

    The Organizers reserve the right, and the Participants authorize, to publish the identity of the Participants on their social media sites and/or any other means of communication.

    Participants understand and accept that, within the framework of an Event, the Organizers may carry out tasks related to the collection, processing, and treatment of Participants' personal data (the “Personal Data”) and that this data will be stored on servers or magnetic media that maintain adequate security and protection standards, in accordance with applicable regulations.

    Participants expressly authorize and consent to the Organizers including in a database the Personal Data provided by Participants in the Registration Form and the information entered in each record, for the exclusive internal use of the Organizers, who will not share it with third parties and will use it exclusively for purposes related to Kamay Code, either for its development or promotion.

    Upon the interested party's request, the Personal Data stored by the Organizers may be rectified, updated, or deleted in accordance with applicable regulations. Participants, as holders of the Personal Data, have the right to access the data free of charge and at intervals of not less than six months, by requesting access from the Organizers, and, if deemed appropriate, may file complaints with the relevant authority.

  • 13. Confidentiality

    Participants undertake to maintain absolute confidentiality regarding Confidential Information provided by the LPs during the Workshop and may not, in whole or in part, disclose, sell, assign, or reveal it in any way to third parties. “Confidential Information” means any and all information provided by the LPs for the implementation of Project solutions, including but not limited to, commercial, financial, and scientific information, technical data, marketing, finance, photographs, drawings, specifications, samples, materials, or experience of any nature, and any information disclosed or made available, directly or indirectly, and all copies, notes, reports, analyses, and evaluations of the aforementioned, prepared by the LPs, which is classified as confidential or which, by its nature or the circumstances in which it is disclosed, is reasonably understood to be confidential.

  • 14. Website

    The Organizers do not guarantee access, the possibility of continuous use, correct functioning, or the state of the Website.

    The Website may contain links to other third-party websites with different privacy policies. The Organizers are not responsible for the content or practices of linked sites and recommend that those who access the Website read in detail the privacy policy of any website they access from the Website.

    Since Kamay Ventures has no control over such third-party sites, it is not responsible for the contents, materials, actions, and/or services provided by them, nor for damages or losses caused by their use, whether directly or indirectly. The presence of links to other third-party websites does not imply a partnership, relationship, endorsement, or support of Kamay Ventures with these sites and their contents.

  • 15. Choice of Law

    The interpretation, validity, and performance of the Terms and Conditions and the rights and obligations arising therefrom for the Participants shall be governed by the laws of the State of Delaware, United States of America.

  • 16. Jurisdiction

    Any conflict that may arise in relation to the Terms and Conditions will be submitted to the jurisdiction and competence of the courts of the State of Delaware, United States of America, with the Participants expressly waiving any other jurisdiction that may correspond.

    Any notifice that may be required to be made by the Participants related to the Kamay Code program should be made to the Organizers' address set at 80 SW 8th Street, Suite 2000, 33130, Miami, Florida, United States of America and to the following e-mail address: hola@kamayventures.com

    Any notice that may need to be given to a Participant may be made to the email address provided in the Registration Form.

    The following specific terms and conditions contain the provisions governing the venue, dates, participation methods, evaluation criteria, jury, prizes, and all other aspects related to participation in Kamay Code Río de Janeiro 2026, Brasil (hereinafter, the “Specific Terms and Conditions”).

    The Specific Terms and Conditions shall be supplemented and interpreted in conjunction with the General Terms and Conditions published at the following link: https://kamaycode.com/basesycondiciones The term “Terms and Conditions” shall refer to the Specific Terms and Conditions and General Terms and Conditions jointly. In case of any doubt or interpretive conflict, the provisions of the Specific Terms and Conditions shall prevail and modify the relevant provisions of the General Terms and Conditions.

    By registering through the submission of the Registration Form, Participants acknowledge and accept being subject to the Terms and Conditions, which may be modified at any time by the Organizers without prior notice to the Participants and by mere publication on http://www.kamaycode.com/.     The fifth edition of Kamay Code 2026 will take place in the city of Río de Janeiro 2026, Brasil. The exact location of the event venue and its program will be announced soon.

  • 4. Projects

    Those wishing to register must specify all elements requested in the Registration Form and may answer additional questions and queries that may arise during the project selection process (the “Projects”).

    Given the limited spaces due to physical capacity, up to 20 Projects will be selected from those registered, based on the evaluation by the Organizers at their sole discretion.

    All Projects, regardless of their stage, must be able to add value, address, or partially or completely solve one of the challenges proposed for this edition of Kamay Code Río de Janeiro 2026, Brasil.

    The analysis and discussions that the Jury and other actors may have with the Participants during Kamay Code Río de Janeiro 2026, Brasil and thereafter shall in no way imply or be interpreted by themselves as acts obliging any of the parties to implement or establish a future contractual relationship between them.
